*Internship Confidentiality Agreement: The Wendell Scott Foundation**
This Internship Confidentiality Agreement ("Agreement") is entered into between the Wendell Scott Foundation ("Organization") and the Intern ("Intern") participating in the internship program. This Agreement outlines the terms and conditions regarding the confidential information to which the Intern may have access during their internship.
**1. Definition of Confidential Information:**
Confidential information includes but is not limited to, any non-public information, trade secrets, proprietary information, financial information, business strategies, marketing plans, donor lists, program materials, internal documents, and any other information that is not readily available to the public.
**2. Obligations of the Intern:**
a. The Intern agrees to maintain the confidentiality of all confidential information received during their internship.
b. The Intern shall not disclose, copy, or use any confidential information for any purpose other than fulfilling their duties as an intern for the Organization.
c. The Intern shall take reasonable precautions to prevent unauthorized access or disclosure of confidential information.
**3. Duration of Confidentiality Obligations:**
The Intern's obligations regarding confidentiality shall continue even after the termination or completion of their internship with the Organization. The Intern shall not disclose any confidential information to any third party without the prior written consent of the Organization.
**4. Remedies:**
In the event of a breach of this Agreement, the Organization may seek legal remedies, including but not limited to injunctive relief and monetary damages, to protect its confidential information and interests.
**5. Governing Law:**
This Agreement shall be governed by and construed by the laws of Virginia without giving effect to its conflict of law principles.
**Internship Release and Waiver of Liability: The Wendell Scott Foundation**
I, Nia Gravely, participating in the internship program at the Wendell Scott Foundation, at this moment acknowledge and agree to the following release and waiver of liability:
1. I understand that my participation in the internship program may involve certain risks and activities, including but not limited to physical activities, events, and travel.
2. I voluntarily assume all risks associated with participating in the internship program and any related activities. I release the Wendell Scott Foundation, its employees, agents, and representatives from any liability for any injuries, losses, damages, or claims arising from my participation.
3. I agree to indemnify and hold harmless the Wendell Scott Foundation, its employees, agents, and representatives from any claims, demands, liabilities, damages, or expenses arising from my participation in the internship program.
4. I understand that the Wendell Scott Foundation does not provide interns with medical or health insurance coverage. I agree to be solely responsible for any medical or health-related expenses incurred during my internship.
5. I grant the Wendell Scott Foundation the right to use any photographs, videos, or recordings of me taken during the internship program for promotional or educational purposes.
**Internship Code of Conduct: The Wendell Scott Foundation**
As an intern at the Wendell Scott Foundation, I understand and agree to abide by the following Code of Conduct:
1. Professionalism: I will professionally conduct myself and treat all individuals respectfully and courteously.
2. Confidentiality: I will maintain the confidentiality of any sensitive information or proprietary materials I may encounter during my internship.
3. Attendance and Punctuality: I will arrive on time and adhere to the agreed-upon schedule for my internship. If I cannot attend, I will notify my supervisor in advance.
4. Work Ethic: I will demonstrate a strong work ethic and complete assigned tasks to the best of my ability. I will seek guidance and ask questions when needed.
5. Communication: I will communicate openly and effectively with my supervisor and colleagues, informing them of my progress, challenges, and ideas.
6. Professional Development: I will actively seek opportunities for learning and growth during my internship, taking advantage of training, workshops, and mentorship opportunities.
7. Compliance with Policies: I will adhere to all policies and guidelines set forth by the Wendell Scott Foundation, including but not limited to safety protocols, social media guidelines, and ethical standards.
ACKNOWLEDGMENT
I certify that all information I provided in this document is accurate and true to my knowledge. I have read and understood why the Personal Information Collection Statement is required. I understand that data collected from this form will be used for recruitment and evaluation purposes only. All data will be strictly confidential.
By signing below, both parties acknowledge that they have read and understood this Agreement and agree to be bound by its terms.
